1. introduction

these terms of service ("terms") govern your use of the services provided by subject: local ltd ("subject: local", "we", "us", "our"), a company registered in England and Wales (company number 17229925).

by signing up for our service or clicking "start your free month", you agree to these terms. if you do not agree, do not use our service.

these terms constitute the entire agreement between you (the "client") and subject: local for the provision of the services described below.

2. the services

subject: local provides AI-powered automation for local service businesses. our current services include:

core plan (£99/month)

  • AI missed-call text-back: an automated SMS response agent that contacts callers who reach your business when you are unavailable, qualifies their enquiry, and routes the lead to you.
  • google review automation: post-job follow-up messages that prompt satisfied customers to leave a Google review on your behalf.
  • setup and configuration: we configure the system to your business, including your phone number, AI response scripts, and any calendar or booking integrations.
  • monthly performance reporting: a summary of leads captured and reviews generated.

multi-channel add-on (coming soon)

the multi-channel add-on (£29/month) is not yet available. it is listed on our pricing page for informational purposes only. no charge will be made for this add-on until it is released and you separately elect to add it to your plan.

we reserve the right to update, modify, or add to the features of the service. where a change materially affects the service you are receiving, we will notify you by email at least 14 days before the change takes effect.

3. free trial and payment

free first month

your first month of the core plan is free. there is no setup fee. your card details are captured at sign up via Stripe, but nothing is charged during your 30-day free trial.

five days before your trial ends (on approximately day 25), we will send you a full report showing every lead captured and every review generated during your free month. you may cancel before day 30 and you will not be charged.

after the free month

after your 30-day trial, your subscription will continue on a monthly rolling basis at the then-current plan price. you will be charged on the same calendar date each month (or the nearest business day).

pricing

  • core plan: £99 per month (excluding VAT where applicable)
  • all prices are in GBP

we may change our pricing with 30 days' written notice by email. continued use of the service after the effective date constitutes acceptance of the new price.

payment processing

all payments are processed by Stripe. by providing your card details, you authorise Stripe to charge your card on the schedule described above. subject: local does not store your card details.

failed payments

if a payment fails, we will notify you and attempt to collect again within 5 business days. if payment remains outstanding after 10 business days, we reserve the right to suspend your service until the balance is cleared.

4. cancellation

you may cancel at any time by contacting us at info@subjectlocal.com or by using the cancellation option in your account (when available).

if you cancel before day 30 of your free month, you will not be charged.

if you cancel after the free month, your service will continue until the end of the current billing period. we do not provide refunds for partial billing periods. there are no exit fees or penalties.

on cancellation, we will deactivate your SMS number and AI agent. lead and conversation data will be retained for 12 months in line with our privacy policy, then deleted.

5. your responsibilities

onboarding information

to configure your service, we will ask you to complete an intake form covering your business, services, and preferred communication style. you are responsible for providing accurate, up-to-date information. we will configure the AI agent based on what you tell us. if that information is wrong or incomplete, the system may not perform as expected.

your obligations

  • you must ensure you have a lawful basis to receive SMS-based lead follow-up on your behalf.
  • you are the data controller for your customers' data. you are responsible for ensuring your customers can reasonably expect automated follow-up when they call your business.
  • you must not use the service for any unlawful purpose or in any way that would bring subject: local into disrepute.
  • you must not attempt to reverse-engineer, copy, or replicate our system or prompts.
  • you must keep your account credentials secure and notify us immediately if you suspect unauthorised access.

your customers

subject: local acts as a data processor on your behalf when our AI agent interacts with your customers. you remain the data controller for those interactions and are responsible for your compliance with applicable data protection law, including UK GDPR. our data processing obligations are set out in the data processing addendum (DPA) which forms part of these terms.

6. service levels and availability

we aim to provision your service and go live within 72 hours of completing your intake form. this timeline is subject to third-party provisioning (such as SMS number allocation by Telnyx) and may occasionally take longer.

we aim for high availability of the AI response agent but do not guarantee 100% uptime. the service depends on third-party infrastructure including Telnyx, Anthropic, Supabase, and n8n. we are not liable for outages caused by these third parties.

we will use reasonable efforts to notify you of planned maintenance or significant outages.

7. intellectual property

all intellectual property in the service, including our AI prompts, workflows, software, and content, belongs to subject: local ltd or our licensors. these terms do not transfer any IP rights to you.

you retain ownership of all data you provide to us (business information, intake form responses, and data about your customers). you grant us a licence to use that data for the purpose of providing the service to you.

8. limitation of liability

nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

subject to the above, our total liability to you in any 12-month period is limited to the total fees paid by you to us in that period.

we are not liable for:

  • indirect or consequential loss, including loss of profits, business, or revenue
  • missed leads or enquiries that did not result from a failure of our service
  • the accuracy of AI-generated responses (the AI agent is a tool to assist you, not a guarantee of outcome)
  • issues arising from incorrect information provided during onboarding
  • third-party service outages (Telnyx, Anthropic, Stripe, Supabase, etc.)

the AI agent may occasionally produce responses that are inaccurate or do not perfectly represent your business. we recommend reviewing a sample of conversations periodically, particularly in the early weeks of the service.

9. data processing addendum

where we process personal data on your behalf as a data processor, the following terms apply in addition to our privacy policy:

  • we will only process personal data on your documented instructions and for the purpose of providing the service
  • we will ensure that anyone who processes personal data on our behalf is subject to appropriate confidentiality obligations
  • we will implement appropriate technical and organisational measures to protect personal data
  • we will assist you in responding to data subject requests relating to data we process on your behalf
  • we will notify you without undue delay if we become aware of a personal data breach affecting your customers' data
  • on termination of the agreement, we will delete or return personal data as you direct
  • we will maintain records of our processing activities as required by UK GDPR Article 30

our sub-processors are listed in our privacy policy. by agreeing to these terms, you authorise our use of those sub-processors. we will notify you of any changes to sub-processors that may affect the protection of your customers' data.

10. termination

either party may terminate the agreement at any time in accordance with section 4 (cancellation).

we may terminate or suspend your account immediately if you:

  • breach these terms and (where the breach is capable of remedy) fail to remedy it within 7 days of written notice
  • use the service for any unlawful purpose
  • become insolvent or enter administration

on termination for your breach, any outstanding fees remain due. we will not refund any pre-paid period.

11. changes to these terms

we may update these terms from time to time. we will notify you of material changes by email at least 30 days before they take effect. if you do not agree to the updated terms, you may cancel before the effective date without penalty. continued use of the service after the effective date constitutes acceptance of the updated terms.

12. governing law and disputes

these terms are governed by the law of England and Wales. any dispute arising from or relating to these terms or the service will be subject to the exclusive jurisdiction of the courts of England and Wales.

we prefer to resolve disputes informally where possible. if you have a concern, please contact us at info@subjectlocal.com in the first instance.

13. general

  • entire agreement. these terms (together with our privacy policy) constitute the entire agreement between you and subject: local in relation to the service.
  • severability. if any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force.
  • no waiver. our failure to enforce any right under these terms does not constitute a waiver of that right.
  • assignment. you may not assign your rights under these terms without our prior written consent. we may assign our rights to a successor business with 30 days' notice.
  • third party rights. these terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
